CROSS Graph Terms of Service

These Terms of Service ("Terms") set forth the conditions for the provision of the Service and define the rights and obligations between the Company and Registered Users regarding the use of the Service. By using the Service, you must read and agree to these Terms in their entirety.

Article 1 (Application)

  • These Terms are intended to define the conditions for the provision of the Service and the rights and obligations between the Company and Registered Users regarding the use of the Service, and shall apply to all relationships between Registered Users and the Company concerning the use of the Service.
  • Rules and policies regarding the use of the Service posted on the Website by the Company shall constitute a part of these Terms.
  • If there is a discrepancy between the content of these Terms and any explanations of the Service outside of these Terms as referred to in the preceding paragraph, these Terms shall prevail unless otherwise specifically noted in such explanations.

Article 2 (Definitions)

The following terms used in these Terms shall have the meanings set forth below:

  • "Service Use Basic Agreement"means the agreement for the use of the Service concluded between the Company and Registered Users with these Terms as the contract conditions.
  • "Intellectual Property Rights" means copyrights, patent rights, utility model rights, design rights, trademark rights, and other intellectual property rights (including rights to acquire such rights or to apply for registration of such rights).
  • "Posted Data" means content (including but not limited to text, images, videos, and other data) that Registered Users post or otherwise transmit using the Service.
  • "The Company" means CROSS Business Producers Inc.
  • Website" means the website operated by the Company for selling the Service (including any website after a change in domain or content for any reason).
  • "Registered User" means an individual or entity registered as a user of the Service pursuant to Article 3 (Registration).
  • "Service" means the internet services provided by the Company (including any service after a change in name or content for any reason).

Article 3 (Registration)

  • A person who wishes to use the Service ("Registration Applicant") may apply to the Company for registration to use the Service by agreeing to comply with these Terms and providing certain information prescribed by the Company ("Registration Information") in a manner prescribed by the Company.
  • The Company shall determine whether to register a Registration Applicant who has applied for registration pursuant to the preceding paragraph ("Registration Applicant") according to the Company's standards, and shall notify the Registration Applicant if the Company approves the registration. The registration of the Registration Applicant as a Registered User shall be completed upon the Company's delivery of such notification.
  • Upon completion of the registration as set forth in the preceding paragraph, a Service Use Agreement shall be established between the Registered User and the Company, and the Registered User may use the Service in accordance with these Terms.
  • The Company may refuse registration or re-registration without disclosing the reasons if the Registration Applicant falls under any of the following:
    • If there is any falsehood, error, or omission in all or part of the Registration Information provided to the Company
    • If the Company determines that the person is an anti-social force (meaning organized crime groups, members of organized crime groups, right-wing organizations, anti-social forces, or similar persons) or is involved in maintaining, operating, or managing anti-social forces through funding or otherwise
    • If the Company determines that the person is or is related to a person who has violated an agreement with the Company in the past
    • If the person has been subject to the measures set forth in Article 10
    • If the Company otherwise determines that registration is not appropriate

Article 4 (Change of Registration Information)

Registered Users shall promptly notify the Company of any changes to the Registration Information in a manner prescribed by the Company.

Article 5 (Management of Password and User ID)

  • Registered Users shall appropriately manage and store their passwords and user IDs for the Service at their own responsibility, and shall not allow third parties to use them, or lend, transfer, change the name of, or sell them.
  • Registered Users shall be responsible for any damages arising from inadequate management or improper use of passwords or user IDs, or use by third parties.

Article 6 (Fees and Payment Method)

  • As consideration for the use of the Service, Registered Users shall pay to the Company the usage fees separately determined by the Company and displayed on the Website, by the payment method designated by the Company.
  • If a Registered User delays payment of the usage fees, the Registered User shall pay to the Company late payment damages at an annual rate of 14.6%.

Article 7 (Prohibited Activities)

Registered Users shall not engage in any of the following activities or activities that the Company determines fall under any of the following when using the Service:

  • Activities that violate laws or are related to criminal activities
  • Fraudulent or threatening activities against the Company or other third parties
  • Activities against public order and morals
  • Activities that infringe on intellectual property rights, portrait rights, privacy rights, reputation, or other rights or interests of the Company or other third parties
  • Transmitting or querying information through the Service that falls under or is determined by the Company to fall under the following:
    • Information containing excessively violent or cruel expressions
    • Information intended to overthrow the government through terrorism or violence
    • Information containing child pornography
    • Information containing computer viruses or other harmful computer programs
    • Information containing expressions that damage the reputation or credit of the Company, other users of the Service, or other third parties
    • Information containing excessively obscene expressions
    • Information containing expressions that promote discrimination
    • Information containing expressions that encourage suicide or self-harm
    • Information containing expressions that encourage inappropriate use of drugs
    • Information containing anti-social purposes
    • Information requesting the spread of information to third parties, such as chain mail
    • Information containing expressions that cause discomfort to others
  • Activities that place excessive load on the network or systems of the Service
  • Reverse engineering or other analysis of software or other systems provided by the Company
  • Activities that may interfere with the operation of the Service
  • Unauthorized access to the Company's network or systems
  • Impersonating a third party
  • Using the ID or password of other users of the Service
  • Advertising, solicitation, or sales activities on the Service without prior consent from the Company
  • Collecting information of other users of the Service
  • Activities that cause disadvantage, damage, or discomfort to the Company, other users of the Service, or other third parties
  • Activities that violate the rules regarding the use of the Service posted on the Website
  • Providing benefits to anti-social forces
  • Activities aimed at meeting unfamiliar persons of the opposite sex
  • Activities that directly or indirectly cause or facilitate any of the preceding activities
  • Attempting any of the preceding activities
  • Other activities deemed inappropriate by the Company

Article 8 (Suspension of the Service)

The Company may suspend or interrupt all or part of the provision of the Service without prior notice to Registered Users if any of the following applies:

  • When urgent inspection or maintenance of the computer system for the Service is required
  • When the operation of the Service becomes impossible due to computer or communication line failure, operational error, excessive access, unauthorized access, hacking, etc.
  • When the operation of the Service becomes impossible due to force majeure such as earthquakes, lightning, fire, wind and flood damage, power outages, or natural disasters
  • When the Company otherwise determines that suspension or interruption is necessary

Article 9 (Ownership of Rights)

All intellectual property rights related to the Website and the Service belong to the Company or those who have licensed the Company to use them, and the license to use the Service based on these Terms does not mean a license to use the intellectual property rights of the Company or those who have licensed the Company to use them regarding the Website or the Service. The rights to Submitted Information and Service Responses shall be governed by the following article.

Article 10 (Text and Responses)

  • The Company does not guarantee or assume any responsibility for the accuracy, safety, or legality of any files or information, including text and PowerPoint files, that Registered Users send using the Service ("Submitted Information").
  • Registered Users shall have complete rights to the Submitted Information and shall use the responses through the Service ("Service Responses") at their own responsibility and judgment.
  • The Company shall not be liable for any defects in the Service based on the content of Service Responses or reasons attributable to API integration partners of the Service.
  • If copyright arises in Service Responses, the copyright (including rights under Articles 27 and 28 of the Copyright Act) shall be transferred to the Registered User upon provision of the Service Response to the Registered User.
  • Registered Users shall not modify the Service logo or other marks attached by the Company to Service Responses without the Company's consent.
  • Registered Users fully understand that, due to the nature of the Service, Service Responses that are identical or extremely similar to those of Registered Users may be generated, and agree in advance that other Registered Users may use such responses. This agreement is not intended to constitute a transfer of rights or license to use the Submitted Information of Registered Users.

Article 11 (Cancellation of Registration)

  • The Company may, without prior notice or demand, delete or hide Posted Data, temporarily suspend the use of the Service by the Registered User, or cancel the registration of the Registered User if the Registered User falls under any of the following:
    • Violation of any provision of these Terms
    • Discovery that the Registration Information contains false facts
    • Suspension or inability to pay, or filing for bankruptcy, civil rehabilitation, corporate reorganization, special liquidation, or similar proceedings
    • No response for 30 days or more to inquiries or other communications from the Company requiring a response
    • Falling under any of the items in Article 3, Paragraph 4
    • When the Company otherwise determines that the use of the Service or continued registration as a Registered User is not appropriate
  • If any of the events in the preceding paragraph occurs, the Registered User shall automatically lose the benefit of time for all debts owed to the Company and shall immediately pay all debts to the Company.

Article 12 (Withdrawal)

  • Registered Users may withdraw from the Service and cancel their registration as a Registered User by completing the procedures prescribed by the Company.
  • If there are any debts owed to the Company at the time of withdrawal, the Registered User shall automatically lose the benefit of time for all debts owed to the Company and shall immediately pay all debts to the Company.
  • The handling of user information after withdrawal shall be governed by Article 15.

Article 13 (Changes and Termination of the Service)

  • The Company may change the content of the Service or terminate its provision at the Company's discretion.
  • If the Company terminates the provision of the Service, the Company shall notify Registered Users in advance.

Article 14 (Disclaimer and Limitation of Liability)

  • The Company does not warrant, expressly or impliedly, that the Service is suitable for any particular purpose of the Registered User, has the expected functionality, commercial value, accuracy, or usefulness, that the use of the Service by the Registered User complies with applicable laws or internal rules of industry organizations, that the Service is continuously available, or that no defects will occur.
  • The Company shall not be liable for damages incurred by Registered Users in connection with the Service beyond the amount of one month's consideration paid by the Registered User to the Company, and shall not be liable for incidental damages, indirect damages, special damages, future damages, or damages related to lost profits.
  • Registered Users shall resolve any transactions, communications, disputes, etc., arising between Registered Users and other third parties in connection with the Service or Website at their own responsibility and expense.

Article 15 (Confidentiality)

Registered Users shall keep confidential any non-public information disclosed by the Company to Registered Users requesting confidential treatment in connection with the Service, unless the Company's prior written consent is obtained.

Article 16 (Handling of User Information)

  • The handling of user information of Registered Users by the Company shall be governed by a separate Privacy Policy, and Registered Users agree that the Company handles their user information in accordance with this Privacy Policy.
  • The Company may use and disclose information, data, etc., provided by Registered Users to the Company as statistical information in a form that does not identify individuals, at the Company's discretion, and Registered Users shall not object to this.

Article 17 (Changes to Terms)

The Company may change these Terms when the Company deems it necessary. When changing these Terms, the Company shall notify the effective date and content of the changed Terms by posting on the Website or other appropriate means, or notify Registered Users. However, for changes that require consent of Registered Users under the law, the Company shall obtain consent of Registered Users by a method prescribed by the Company.

Article 18 (Contact/Notice)

  • Inquiries regarding the Service and other communications or notices from Registered Users to the Company, as well as notices regarding changes to these Terms and other communications or notices from the Company to Registered Users, shall be made in a manner prescribed by the Company.
  • If the Company sends a communication or notice to the email address or other contact information included in the Registration Information, the Registered User shall be deemed to have received such communication or notice.

Article 19 (Assignment of Status Under Service Use Agreement)

  • Registered Users may not assign, transfer, provide as security, or otherwise dispose of their status under the use agreement or rights or obligations under these Terms to any third party without prior written consent of the Company.
  • If the Company transfers the business related to the Service to another company, the Company may transfer to the transferee the status under the use agreement, rights and obligations under these Terms, and Registration Information and other customer information of Registered Users in connection with such business transfer, and Registered Users hereby consent to such transfer in advance. The business transfer referred to in this paragraph shall include not only ordinary business transfers but also all cases where the business is transferred, such as corporate splits.

Article 20 (Severability)

Even if any provision of these Terms or part thereof is determined to be invalid or unenforceable under the Consumer Contract Act or other laws, the remaining provisions of these Terms and the remaining parts of provisions partially determined to be invalid or unenforceable shall continue in full force and effect.

Article 21 (Governing Law and Jurisdiction)

  • These Terms and the Service Use Agreement shall be governed by the laws of Japan.
  • Any disputes arising from or relating to these Terms or the Service Use Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
